DayAlign Website - Terms of Use (Canada)

Effective date: August 27, 2025

Applies to: Public websites, landing pages, blogs, documentation, microsites, forms, and any content under dayalign.com and sub-domains (the “Site”). These Website Terms do not govern your paid use of the DayAlign software/service; those are covered by the DayAlign Service Terms via Service Agreeements.

2) Agreement to these Terms

By accessing or using the Site, you agree to these Website Terms and to our Website Privacy Policy at https://dayalign.com/privacy-policy. If you do not agree, do not use the Site. If you register for a Site account (e.g., to download content or book a demo), additional terms may apply.

3) Relationship to DayAlign Service Terms

The Site may describe the DayAlign software/service (the “Service”). Your paid or trial use of the Service is governed by the DayAlign Service Terms (and any DPA/BAA as applicable), not these Website Terms. If there is a conflict, the Service Terms control for the Service and these Website Terms control for the Site.

4) No professional advice; not a medical device

Site content is for general information only and may include AI-generated or curated material. It is not professional, legal, medical, or regulatory advice, and the Service is not a medical device. You are responsible for how you use Site information.

5) Acceptable use

You will not, and will not allow others to:

  • misuse forms or contact tools (e.g., spam, phishing, malware);
  • attempt to gain unauthorized access to systems;
  • copy, scrape, or crawl the Site in bulk without our written consent;
  • reverse engineer or interfere with Site operations;
  • infringe or violate rights of others;
  • upload or transmit personal health information (PHI) or other sensitive information through general contact forms; or
  • use the Site unlawfully.

6) Your submissions & feedback

If you submit content (e.g., comments, reviews, testimonials, feature requests) you grant DayAlign a worldwide, royalty-free, sublicensable license to host, use, reproduce, modify, publish, and display such content in connection with the Site and our business. You represent that you own or control all rights to your submissions and that they do not include PHI, confidential, or infringing material. Feedback about the Site or Service may be used without restriction.

7) Intellectual property

The Site and its content are owned by DayAlign or our licensors and are protected by law. You may view the Site for your internal business purposes. No other rights are granted. All trademarks, logos, and trade names are the property of their respective owners and may not be used without permission.

9) Electronic communications (email/SMS) via the Site

If you provide contact details (e.g., forms, chat, demo booking) you may receive administrative messages responding to your inquiry. For marketing messages, we will seek express consent as required by CASL (e.g., a checkbox or SMS double opt-in). Every commercial electronic message (CEM) will include our identification information and a functional unsubscribe/STOP mechanism. You can unsubscribe at any time.

SMS program summary (if enabled):

  • Purpose: appointment/demo scheduling, reminders, service updates; optional marketing if you opt in.
  • Opt-in: web checkbox + SMS YES (double opt-in recommended).
  • Opt-out: reply STOP; help at hello@dayalign.com.
  • Frequency: varies; message/data rates may apply.
  • Identification & info page: dayalign.com/txt will display our business name, mailing address, and contact details.
  • PHIPA note: Do not submit PHI through Site forms; we use PHI-minimizing SMS templates.

10) Availability and changes

We may change, suspend, or discontinue any part of the Site at any time without notice. We may update these Website Terms; continued use of the Site after changes means you accept the revised terms.

11) Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYALIGN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYALIGN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED CAD $100.

13) Indemnification

You will defend, indemnify, and hold harmless DayAlign and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your: (a) use of the Site; (b) submissions; (c) violation of these Terms or law; or (d) infringement or violation of any third-party right.

15) Governing law; venue

These Website Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. The courts of Ontario, Canada have exclusive jurisdiction for disputes relating to the Site. Class actions are waived to the extent permitted by law.

16) General

These Terms are the entire agreement between you and DayAlign regarding the Site. If a provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not assign without our consent. No waiver is implied by delay or omission.
